Role Purpose

Be responsible for managing and supervising the duties and authority of The Inspection Committee of Maroon Bells Joint Stock Company which is mentioned in the Regulations on Operation of the Inspection Committee.

Key Accountabilities

  • Arrange the execution and supervision of the Inspection Committee’s duties and power as stipulated in the Regulations on Operation of the Inspection Committee.
  • Arrange, and preside over the election of the chair of the General Meeting of Shareholders in case the Chairperson of the Board of Directors is absent or temporarily unable to work while the remaining members of the Board of Directors cannot elect a chair. In this case, the person who receives the most votes shall chair the meeting.
  • Sign documents under the Inspection Committee’s authority on behalf of the Inspection Committee.
  • Request the Board of Directors to convene an Extraordinary General Meeting of Shareholders, at the sole discretion of the Chairperson of the Inspection Committee, regardless of whether an Inspection Committee Meeting has been held previously, in the event that issues arise pertaining to violations of the conditions and standards of Members of the Board of Directors as outlined in the Company’s Charter. In case the Board of Directors fail to convene said meeting, the Chairperson of the Inspection Committee is empowered to convene the General Meeting of Shareholders within 30 days, as stipulated in Clause 3 Article 140 of the Law on Enterprises.
  • Perform other rights and obligations prescribed by the Law on Enterprises, the Company’s Charter, and the resolution of the General Meeting of Shareholders.

Key Requirements

  • A bachelor’s degree or higher
  • Economics, Finance, Accounting, Audit, Law, Business Administration, or another major that is relevant to the Company’s operation.
  • English (influent in reading, listening, writing, speaking).
  • At least 5 years of experience in the same position.
  • Big 4 audit background & working experience in retail is preferable.
  • Member of a professional body (e.g. ACCA, CPA, CIA) is preferable.
  • Ability to effectively communicate with a wide range of stakeholders at all levels of the organization.
  • Solid understanding and experience with internal control frameworks.
  • Strong problem-solving, decision-making, and presentation skills.
  • Strong communication skills presenting internal control and risk matters in an understandable way across various forums and levels of the organization with the right level of detail.
  • Adaptable to working in a fast-paced, diverse & ever-changing environment.
  • Not a family relationship of any member of the Board of Directors, the CEO, or any other managers.
  • Does not work in the Company’s accounting or finance department.
  • Not a member or employee of the accredited audit organization that has audited the Company’s financial statements over the last 03 years.
  • Other requirements are prescribed by law and the Company’s Charter.
  • The Chairperson of Inspection Committee shall be elected by the Inspection Committee among its members; the election, dismissal and discharge of the Chairperson of Inspection Committee shall be carried out under the majority rule.
